Welcome to TradeToWorld, a B2B marketplace where professional Sellers and Buyers connect to negotiate and carry out international trade in goods, and where Service Partners can offer supporting services. TradeToWorld acts only as an intermediary and is not a party to the contracts you enter into with other Users.

By registering an account or using the marketplace, you confirm that you are a legally registered business (not a consumer), that you are at least 18 years old, and that you have authority to bind your company to these Terms and our Privacy Policy. If you do not agree, do not use the marketplace.

You must keep your registration information accurate and your login details secure. You are responsible for all activity that occurs under your account. We may suspend or close accounts that provide inaccurate information or breach these Terms.

Sellers can list their company and products for free and negotiate directly with Buyers. Paid subscription plans may provide extra features and services; any such plans, including their fees, billing cycles and features, will be clearly described at the time you subscribe and will form part of your agreement with us. You are never obliged to use our payment solutions or additional services.

You remain fully responsible for the products you sell or buy, for your compliance with applicable laws, and for the content you upload. You must not upload illegal, infringing, misleading, offensive, or harmful content, or use the marketplace for spam, fraud, or attempts to entice Users away from the platform. We may remove content or suspend accounts that violate these rules.

TradeToWorld owns the platform and its brand. You may use the marketplace and any TradeToWorld app only for your internal business purposes, and you may not copy, resell, reverse engineer, or misuse any part of the services. You keep ownership of your own content, but you grant us a license to use it to operate, promote, and improve the marketplace.

The services are provided “as is” without warranties, and our liability is limited to 100 Canadian dollars. You agree to indemnify us for claims connected with your breach of these Terms, your content, or your use of the services. Any disputes are governed by Canadian law, with exclusive jurisdiction in the courts of Vancouver, British Columbia.

1. Overview

TradeToWorld Marketplace Corporation (“TradeToWorld”, “we”, “us”, “our”) operates a B2B online marketplace (the “Marketplace” or “Platform”), available at https://tradeto.world/ and via any related applications. The Platform enables professional sellers (“Sellers”) to present their company and products, enables professional buyers (“Buyers”) to discover and contact Sellers, and allows professional service providers (“Service Partners”) to offer supporting trade services.

TradeToWorld acts only as an intermediary. We do not own or sell the products listed on the Platform, do not act as a buyer or seller, and are not a party to any contracts for the sale of goods or services between Users. All commercial terms, including prices, quantities and delivery conditions, are agreed directly between Users.

These Terms of Use (“Terms”) form a binding agreement between you and TradeToWorld Marketplace Corporation, 8170 201 Street, Langley, BC, V2Y 3Y6, Canada, concierge@tradeto.world.

2. Acceptance and Professional Use

The Platform is intended solely for use by legal, fiscally registered business entities and their authorized representatives, not for individual consumers.

By creating an account, clicking to accept these Terms, or using the services, you represent and warrant that:

  • You are at least 18 years old and have the legal capacity to enter into a binding contract.
  • You are duly authorized to bind the company or other legal entity you represent.
  • You are acting for professional, non‑consumer purposes.

If you do not agree to these Terms or do not meet these requirements, you must not use the Platform.

Unregistered visitors may browse parts of the Platform and use search filters, but commercial details such as prices and minimum order quantities are visible only to registered Users.

3. User Categories and Eligibility

The Platform is built for the following professional categories:

  1. Mother Sellers: Companies owning brand and manufacturing rights of the goods they sell (e.g., factories with their own brand or private label).
  2. Official Resellers: Companies that purchase goods from Mother Sellers under written agreements (often including area exclusivity) and resell them. Franchisees fall in this category.
  3. Independent Resellers: Companies that purchase goods from Mother Sellers or Official Resellers and use the Platform to display and resell those goods.
  4. Buyers: Companies entitled, under their local law, to buy and, where applicable, resell the relevant categories of goods.

Reseller subscriptions remain subject to the rights and terms of the relevant Mother Sellers. At the request of a Mother Seller, TradeToWorld may require a Reseller to adjust or cancel its subscription if the Mother Seller prohibits or restricts sales of its products on the Platform or changes its distribution policy.

4. Modifications and Service Availability

We may modify, upgrade, suspend, discontinue, or restrict any aspect of the Platform or services at any time at our sole discretion, including for maintenance, operational reasons, internal business decisions, or in emergencies.

We may revise these Terms from time to time. When we do, we will provide reasonable prior notice, for example by email or by posting the updated Terms on the Platform. Your continued use of the services after the effective date of any changes will constitute your acceptance of the revised Terms. If you do not agree, you must stop using the Platform.

5. Definitions

For clarity:

User: Any corporate customer that subscribes to or uses the Platform to buy or sell products.

Seller: A User listing products to sell to Buyers.

Buyer: A User searching for and purchasing products.

Re‑Seller: A Buyer that also subscribes as a Seller and keeps products listed, adding its own stock locations.

Platform Managers: TradeToWorld personnel or consultants that operate the Platform and support Users and partners.

Service Partner: A professional company that offers specialized trade services (e.g., logistics, consulting, compliance) to Users.

Sales Partner: A company, association, or organization that promotes the Platform to potential Users and/or provides information about it.

Stock Location: A physical location where goods listed on the Platform are stored and from which they are shipped.

6. Account Registration and Management

To access key features, including listings and negotiations, you must register an account (“Account”). TradeToWorld offers:

  • Seller Accounts for product listing and sales.
  • Buyer Accounts for sourcing and purchasing.
  • Service Provider Accounts for offering specialized services.
  • Sales Partner Accounts for promoting the platform to own corporate audience.

Buyers and Sellers may register directly on the Site or Application, while Service Providers and Sales Partners submit their details and may be approved at our sole discretion.

You must provide accurate, current, and complete information during registration, keep it updated, and choose a secure password. Your login credentials are personal to your organization’s authorized users; you must keep them confidential and limit access appropriately.

You are responsible for all activity under your Account and must notify us immediately if you suspect unauthorized access, and promptly secure your Account (e.g., changing passwords, disabling user profiles). We may suspend or terminate Accounts with inaccurate or incomplete data or that otherwise breach these Terms.

TradeToWorld does not guarantee the accuracy, completeness, or usefulness of information provided by Users, and you use such information at your own risk.

7. Subscription Plans, Fees and Service Transparency

7.1 Free Seller Access

Sellers receive free access to core features, including:

  • Company registration and profile.
  • Product listing and visibility to Buyers.
  • Direct inquiries and negotiations with Buyers, with mutual disclosure of identities.

The free subscription is open‑ended and does not require payment information. There is no obligation to use TradeToWorld payment tools or trade services.

7.2 Paid Plans and Upgrades

We offer paid subscription plans that give access to additional services and features (for example, enhanced visibility, analytics, or bundled trade services). Each plan will be described at the point of subscription, including:

  • Subscription name and included features.
  • Fees and currency.
  • Billing cycle (e.g., monthly or annual).
  • Renewal, upgrade, downgrade, and cancellation rules.

By signing up for a paid plan, you agree to pay the applicable fees and taxes for the entire billing period. Unless otherwise indicated, subscriptions renew automatically at the end of each billing period at the then‑current price, and you authorize us (or our payment provider) to charge the payment method you have provided.

If you downgrade or cancel a paid subscription, changes will take effect at the end of the current billing period unless we explicitly offer earlier effect. Fees already paid are generally non‑refundable, except where mandatory law requires otherwise or where we explicitly state a refund policy.

We may change subscription fees or features from time to time. Any change will apply from the next renewal period, and we will provide prior notice where required. You may cancel before the change takes effect if you do not agree.

8. Ownership of the Platform

All rights in the Platform, services, and content (excluding User Content) are owned by TradeToWorld, its licensors, or other providers, and are protected by copyright, trademark and other laws. You may not remove or alter any proprietary notices.

TradeToWorld’s names, logos and related brand elements are protected trademarks. You may not use them without our prior written consent.

9. Licenses Granted by TradeToWorld

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license, without the right to sublicense, to:

  • Access and use the Platform and content solely for your internal business purposes.
  • Download and use any official TradeToWorld application on your devices solely to access the services.

You may not resell, distribute, copy, modify, reverse engineer, or otherwise exploit the services or content, except as allowed by law or these Terms. Attempting to disable or circumvent security or access‑control mechanisms is prohibited and may lead to immediate termination.

10. User Content and License

By uploading or posting content (including product data, images, texts, documents, or feedback) to the Platform (“User Content”), you grant TradeToWorld a worldwide, perpetual, non‑exclusive, transferable, sublicensable, royalty‑free license to use, host, store, copy, adapt, modify, distribute, publicly display, and perform such content in connection with operating, promoting, and improving the Platform and related activities.

You remain the owner of your User Content. You represent and warrant that you own or control all rights needed to grant this license, that your content does not infringe any third‑party rights or laws, and that it does not contain unlawful, defamatory, misleading, or harmful material, viruses, or malware.

You must not misrepresent your identity, use false contact details, or mislead other Users about the origin or accuracy of your content. You remain responsible for your User Content and agree to indemnify TradeToWorld as described below.

11. Third‑Party Sites, Apps and Beneficiaries

The services may contain links to third‑party websites or resources. TradeToWorld is not responsible for their availability, content, products, or services, and access is at your own risk. Links do not imply endorsement.

If you access the services via applications developed for Apple iOS or Android, Apple Inc. and Google LLC are third‑party beneficiaries with limited rights but are not parties to these Terms and do not provide or support the services. Your use of their platforms is subject to their separate terms and privacy policies.

12. Prohibited Uses

You must not:

  • Post content that is illegal, infringing, fraudulent, misleading, offensive, or harmful.
  • Access, use, or attempt to use another User’s account or impersonate any person or entity.
  • Mirror or frame the Site or Application or use TradeToWorld’s marks without written consent (except for lawful linking to our homepage without implying endorsement).
  • Access non‑public areas or systems, test vulnerabilities, or breach security.
  • Circumvent or attempt to circumvent technological protections.
  • Use automated tools to access or scrape the Platform (except standard search engines or approved tools).
  • Solicit Users to leave the Platform or discourage them from trading on it.
  • Send spam or unsolicited promotional communications related to the services.
  • Use meta tags or hidden text that incorporate TradeToWorld’s marks without consent.
  • Reverse engineer or attempt to decipher any part of the services.
  • Interfere with other Users or networks, including via viruses or overloading.
  • Collect or store personal data in violation of law or our Privacy Policy.
  • Violate any law or encourage others to do so.

We may investigate suspected violations, remove content, and cooperate with law enforcement where appropriate.

13. Intellectual Property Complaints

If you believe that any content on the Platform infringes your intellectual property rights, notify us at concierge@tradeto.world, using “MISBEHAVIOUR” in the subject line and providing sufficient details of the alleged infringement and your rights.

14. Feedback

If you provide comments, ideas, or suggestions (“Feedback”), you grant TradeToWorld a worldwide, perpetual, irrevocable, fully‑paid, royalty‑free, sublicensable, transferable license to use and exploit that Feedback for any purpose.

15. Termination

We may suspend or terminate your access to the Platform and these Terms, in whole or in part, immediately and without prior notice if you breach these Terms or our Privacy Policy, or where required by law or our policies.

We may also revoke your access for any reason, with or without cause. If we terminate for your breach, you remain liable for all amounts due and obligations incurred before termination.

You may request cancellation of your Account at any time by emailing concierge@tradeto.world with the subject “CANCEL ACCOUNT”.

16. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY. TRADETOWORLD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON‑INFRINGEMENT, AS WELL AS ANY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR‑FREE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR RELIABLE. NO ORAL OR WRITTEN ADVICE OR INFORMATION OBTAINED FROM TRADETOWORLD CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS AND THIRD PARTIES, AND SHOULD TAKE APPROPRIATE PRECAUTIONS, ESPECIALLY WHEN COMMUNICATING OFF‑PLATFORM OR IN PERSON.

17. Indemnity

You agree to defend, indemnify and hold harmless TradeToWorld, its group companies, officers, directors, employees, agents, contractors, licensors and service providers from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms or applicable law; (b) your User Content; or (c) your use of the services.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU BEAR ALL RISK RELATED TO YOUR USE OF THE PLATFORM. TRADETOWORLD AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, OR FOR PERSONAL INJURY OR EMOTIONAL DISTRESS, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES.

IN ANY CASE, TRADETOWORLD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED 100 CANADIAN DOLLARS (CAD 100).

19. Governing Law and Jurisdiction

These Terms and any dispute related to them are governed by the laws of Canada, excluding conflict‑of‑laws rules. The United Nations Convention on Contracts for the International Sale of Goods and consumer e‑commerce protections that apply only to individual consumers are expressly excluded.

The exclusive jurisdiction and venue for any legal action arising from these Terms is the competent court in Vancouver, British Columbia, Canada. You waive any objection to jurisdiction or venue in those courts.

20. Assignment

You may not assign or transfer these Terms without our prior written consent. Any attempted assignment without consent is void. We may assign or transfer these Terms without restriction. These Terms bind and benefit the parties and their permitted successors and assigns.

21. Notices

We may provide notices by email to the primary address associated with your Account, by posting on the Site, or via the Application. Notices by email are deemed received on the date sent.

22. Entire Agreement

These Terms constitute the entire agreement between you and TradeToWorld regarding the services and supersede all prior negotiations or agreements on the same subject.

23. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Any invalid provision will be replaced with a valid one that most closely reflects its original intent.

24. No Waiver

Our failure to enforce any provision does not waive our right to enforce it later. A waiver is effective only if in writing and signed by an authorized representative.

25. Survival

Provisions that by their nature should survive termination will survive, including those related to intellectual property, disclaimers, indemnity, and limitations of liability.
